Terms of Service

Caldera Pulse is owned and operated by Orange Block Media. Please read these Terms of Service ("Terms") carefully before activating your institutional partition or permitting authorized personnel to access our operational analytics platform.

1. Acceptance of Terms

By registering an institutional account, provisioning corporate user spaces, or utilizing the Caldera Pulse platform (the "Service"), the commercial entity, financial institution, or credit union ("Subscriber") agrees to be bound legally by these Terms. If you are entering into this agreement on behalf of an institution, you represent that you possess the legal authority to bind that entity to these provisions.

2. Description of Service

Caldera Pulse operates a specialized Software-as-a-Service (SaaS) platform designed for multi-location financial institutions to aggregate internal frontline operational friction and team sentiment metrics. The Service includes browser-based dashboard configurations, shift closeout questionnaire mechanics, compliance triggers, and automated administrative reporting utilities.

2.1 Mobile Messaging Programs and Alerts

By opting into Caldera Pulse administrative alerts or system notifications, Subscriber and its authorized users agree to receive automated transactional text messages (such as system uptime status, critical workflow alerts, and platform feedback request configurations).

  • Opt-In: Consent is gathered via a separate, optional checkbox within the user account settings console or dedicated landing page forms. Consent is never bundled into broad or generic programmatic agreements.
  • Opt-Out: You can cancel the SMS service at any time. Just text STOP to our shortcode or longcode. After you send the SMS message STOP to us, we will send you an SMS message to confirm that you have been unsubscribed.
  • Help & Support: For assistance, you can text HELP for more information, or contact our support grid directly at [email protected].
  • Rates & Frequency: Message and data rates may apply for any messages sent to you from us and to us from you. Message frequency varies depending on your platform notifications and automated trigger setup.

3. Institutional Partitions & Account Security

Subscribers are granted a secure, logically isolated workspace partition. Subscriber is uniquely responsible for maintaining the strict confidentiality of all administrative credentials, API connection keys, and frontline user access links. Caldera Pulse is not liable for data exposures resulting from internal credential mismatches or weak local authorization practices within Subscriber's internal networks.

4. Permitted Use and Restrictions

Subscriber agrees to utilize the Service strictly for legitimate operational optimization and workforce retention tracking. Subscriber shall not:

  • Attempt to decompile, reverse-engineer, or breach the logical data separation arrays of the platform.
  • Input, transmit, or expose the Service to Non-Public Personal Information (NPPI), consumer account ledgers, social security numbers, or sensitive financial data belonging to the bank or credit union's retail customer base.
  • Utilize the system to monitor staff actions outside standard, legally permissible business metrics.

5. Platform Fees, User Sizing, and Renewals

Subscriber agrees to pay all structural licensing fees associated with their selected user tier (e.g., Branch Starter, Institution Pro, or Enterprise Core). Fees are calculated based on registered frontline user counts and are billed securely on an annual cycle. All service partitions are provisioned on a prepaid, non-refundable model. Annual allocations automatically renew unless written termination notice is filed at least thirty (30) days prior to the expiration of the current operational term.

6. Workplace & Employment Compliance

Caldera Pulse provides automated, low-friction micro-questionnaires designed to be answered rapidly on active workplace terminals. Subscriber retains sole responsibility for ensuring that its internal deployment schedules, timing configurations, and tracking methodologies comply strictly with the Fair Labor Standards Act (FLSA), local wage-and-hour regulations, and any applicable collective bargaining structures active within their branch network.

7. Intellectual Property Rights

Caldera Pulse retains all exclusive right, title, and ownership interest in the platform core, tracking software, database schemas, proprietary algorithms, styling sheets, and interface designs. Subscriber retains total ownership of all localized sentiment entries, corporate metrics, and configuration data pushed to their secure institutional partition.

8. Limitation of Liability & Warranties

The Service is delivered to Subscriber on an "As-Is" and "As-Available" foundation. Caldera Pulse disclaims all warranties, express or implied, including merchantability or specific fitness for a particular institutional purpose. In no scenario shall Caldera Pulse be liable for consequential, indirect, incidental, or exemplary losses, nor shall platform liability cross the aggregate cash totals paid to Caldera Pulse by the Subscriber during the preceding twelve (12) month operating cycle.

9. Governing Law

These Terms, along with any external service level attachments or transactional statements, shall be governed by and interpreted under the foundational laws of the State of Illinois, without introducing conflict of law concepts. Any legal actions must be navigated inside the appropriate courts holding local jurisdiction over Caldera Pulse corporate operations.

10. Modifications to Agreement

We reserve the right to refine these Terms at any interval to align cleanly with regulatory modifications or core feature releases. Subscribers will receive clear notification windows inside the primary administrative control workspace regarding significant terms updates.
